1. Agreement to Terms

By accessing or using Inkly at inklywriter.ai (the “Service”), operated by Prospi, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Inkly is an AI-powered content generation platform that creates personalized LinkedIn and X posts based on your writing voice and knowledge base. The Service includes voice profiling, knowledge building, content generation, AI-assisted editing, and a content calendar.

3. Accounts

You must provide a valid email address to access the Service. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us immediately of any unauthorized use.

4. Subscriptions and Payments

Access to the Service requires a paid subscription after a 7-day free trial. Subscriptions are billed monthly or annually through Stripe.

• Free trial: 7 days, no credit card required. Features may be limited during the trial.
• Billing: Subscriptions renew automatically unless cancelled before the renewal date.
• Cancellation: You may cancel at any time from your account settings. Access continues through the end of the current billing period.
• Refunds: We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us.
• Price changes: We may adjust pricing with 30 days’ notice. Existing subscriptions are honoured until renewal.

5. Acceptable Use

You agree not to:

• Use the Service to generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Circumvent rate limits, access controls, or other technical restrictions
• Share your account credentials or allow others to access the Service under your account without authorization
• Use the Service to spam, harass, or mislead others
• Resell, sublicense, or redistribute the Service or generated content as a competing product

6. Content Ownership

Your content: You retain ownership of all writing samples, knowledge base entries, and input data you provide. By using the Service, you grant us a limited license to process this data solely for the purpose of providing the Service.

Generated content: Content generated by the AI based on your voice profile and knowledge base is yours. You may use, publish, modify, and distribute generated content without restriction.

No training: We do not use your data to train AI models. Your voice profile, knowledge base, and generated content are private to your account.

7. AI-Generated Content Disclaimer

Content generated by the Service is produced by artificial intelligence and may contain inaccuracies, errors, or unintended statements. You are solely responsible for reviewing, editing, and approving all content before publishing. We are not liable for any consequences arising from content you publish.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to factors beyond our control. We are not liable for any downtime or data loss.

9. Limitation of Liability

To the maximum extent permitted by law, Inkly and Prospi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users. You may terminate your account at any time by cancelling your subscription and contacting us to request deletion.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice within the Service. Continued use after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation before pursuing formal proceedings.
